Associate - Corporate
Main purpose of the role
The Public Companies and Capital Markets team based in our Frankfurt office, which we opened in May 2023, is growing and we are looking for an additional Associate, ideally with experience in both stock corporation law and equity capital markets, to join us and assist us in delivering the best client experience.
Your responsibilities include providing advice in the field of equity capital markets transactions and corporate law advice for listed companies, . IPOs and capital increases, public takeovers, ongoing advice as to shareholders' meetings as well as on the compliance with the post-admission obligations arising from stock exchange listing.
Furthermore, you will assist listed and non-listed companies in a variety of challenging corporate law issues.
You will combine your legal skills with your interest in transactions, develop innovative solutions and shape market practice.

About the Team
We are recognised in the market as having the experience to advise on all aspects of capital markets transactions by public companies. The long-established practice of the German team has an extensive track-record of advising issuers and their sponsors as well as underwriters on IPOs, follow-on equity cash raisings and M&A transactions involving listed companies.
Our German team is particularly known for handling complex cross-border capital markets transactions, including listings of German issuers abroad, cross-border exchange offers and transformations. Firm wide, we handle transactions on behalf of companies operating in over 60 jurisdictions, in addition to the UK, with particular expertise in Canada, North and South America, Australia, South-East Asia, Sub-Saharan Africa, the Middle East and India.
The international Gowling WLG team has for many years consistently been a leader in the ECM rankings, especially in the AIM market, and has a broad spread of work focussing on floats and secondary fundraisings, both on the Main Market and on AIM acting for corporates and nominated and financial advisers, takeovers, and private M&A and joint ventures for public companies.
